By using this site or engaging our services you agree to be bound by these terms.
1. Definitions
- "Client": any business or individual who engages us for services.
- "Services": the social media management, advertising, content production and related services described on this site or in a written proposal.

2. Engagement & contract
A contract is formed when you accept our written proposal or pay your first invoice, whichever happens first. Each engagement is for a rolling monthly term unless otherwise agreed in writing. Either party may terminate by giving 30 days' written notice.
3. Fees & payment
- Monthly retainer fees are invoiced in advance and payable within 7 days of the invoice date.
- All fees are exclusive of VAT, which will be added at the prevailing rate.
- Ad budgets (Meta, TikTok, LinkedIn, Google etc.) are paid directly by the Client to the platform. We do not mark up ad spend.
- Late payments may incur interest in line with the Late Payment of Commercial Debts (Interest) Act 1998.
- We reserve the right to pause services where invoices remain unpaid for more than 14 days.
4. Client responsibilities
- Provide timely access to your social media accounts, websites and advertising platforms.
- Supply accurate information about your products, services, offers and brand.
- Respond to approval requests within reasonable timeframes.
- Ensure any content you provide is accurate, lawful and does not infringe third-party rights.
5. Approvals & turnaround
Content schedules are typically issued for approval at the start of each month. Content not approved or amended within 5 working days will be deemed approved and published as drafted.
6. Intellectual property
On full payment of the relevant fees, all original content we create for you (graphics, copy, video) becomes your property. Stock assets, fonts, templates and third-party tools remain subject to their original licences. We retain the right to feature work in our portfolio and case studies unless you ask us not to in writing.
7. Confidentiality
Both parties will keep confidential any non-public information shared during the engagement and only use it for the purpose of delivering the Services.
8. Data protection
Where we process personal data on your behalf, we do so as a data processor in accordance with our Privacy Policy and a separate Data Processing Agreement where required.
9. Third-party platforms
We do not control Meta, Google, TikTok, LinkedIn, X or any other platform. We are not responsible for changes to their algorithms, ad policies, downtime, ad disapprovals or account suspensions outside our reasonable control.
10. Results
We use our experience and best efforts to deliver strong results, but the nature of digital marketing means specific outcomes (followers, leads, sales, ROAS) cannot be guaranteed.
11. Liability
- Our total aggregate liability under or in connection with any engagement is limited to the fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
- We exclude liability for indirect, consequential, special or punitive losses, loss of profit, loss of goodwill or loss of data.
- Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.
12. Termination
Either party may terminate this contract on 30 days' written notice. We may terminate immediately if you breach these terms, become insolvent or fail to pay invoices when due. On termination you will pay for all services delivered up to the termination date.
13. Website use
You may use this site for lawful, personal and business research purposes. You must not attempt to gain unauthorised access, transmit malicious code, scrape content in bulk, or use the site in any way that could damage or disable it.
